These Terms and Conditions ("Terms") govern access to and use of Nexus School ERP ("Nexus School ERP", "Nexus ERP", "Service", "Platform", "we", "us", or "our"), including our web applications, Android applications, iOS applications, APIs, integrations, and related services.
By accessing or using the Service, you agree to these Terms.
If you are using the Service on behalf of a school, educational institution, company, or other organization, you represent that you are authorized to accept these Terms on its behalf.
1. About Nexus School ERP
Nexus School ERP is a school management and administration platform designed to help educational institutions manage operations including:
- Student admissions and records
- Parent and guardian management
- Teacher and staff management
- Attendance
- Academics
- Timetables
- Homework and assignments
- Examinations and results
- Fees and payments
- Accounting-related information
- Human resources
- Library
- Hostel
- Transportation
- Communication
- Notifications
- Reports and analytics
- Mobile applications
- Third-party integrations
- Other school-management functions
The availability of specific modules depends on the school's subscription, configuration, plan, location, and applicable agreement.
2. Eligibility
The Service is intended primarily for educational institutions and their authorized users.
Users may include:
- School administrators
- Management
- Principals
- Teachers
- Staff
- Accountants
- Librarians
- Drivers
- Students
- Parents and guardians
- Other authorized personnel
Users must provide accurate information and must not impersonate another person.
3. School Account
The school or institution is responsible for:
- Providing accurate information
- Maintaining administrator credentials
- Managing authorized users
- Configuring permissions
- Removing inactive users
- Protecting login credentials
- Ensuring lawful use of student and employee information
The school is responsible for activity performed through its account.
4. User Accounts
Users must:
- Keep passwords confidential.
- Not share accounts without authorization.
- Use the Service only for legitimate purposes.
- Notify the school or Nexus ERP of suspected unauthorized access.
- Follow applicable school policies.
Nexus ERP may suspend access where necessary for security, investigation, abuse prevention, or violation of these Terms.
5. Subscription and Service Plans
Certain features may require a paid subscription.
Subscription details may include:
- Number of students
- Number of users
- Modules
- Storage
- Integrations
- Support level
- Subscription period
- Usage limits
The applicable commercial agreement or order form will govern pricing and subscription-specific terms.
6. Fees
Fees payable for Nexus School ERP will be communicated through the applicable quotation, order form, subscription plan, invoice, or service agreement.
Unless otherwise agreed:
- Fees must be paid within the stated payment period.
- Taxes may be charged as required by applicable law.
- Additional services may incur additional charges.
- Third-party services may have separate charges.
7. Payment Processing
Nexus School ERP may integrate with multiple payment gateways.
Payments may be processed by third-party payment providers.
Nexus ERP may receive transaction information such as:
- Transaction ID
- Order ID
- Payment status
- Amount
- Currency
- Date and time
- Refund status
Payment providers may have separate terms and privacy policies.
8. School Data
The school retains responsibility for information it provides to the Platform.
School Data may include:
- Student records
- Parent information
- Academic records
- Attendance
- Fees
- Employee information
- Documents
- Communications
- Transport information
- Other school records
Nexus ERP will process School Data in accordance with the applicable agreement, Data Processing Agreement, and Privacy Policy.
9. Intellectual Property
Nexus ERP owns or licenses the Platform, including:
- Software
- Source code
- User interface
- Design
- Logos
- Trademarks
- Documentation
- Platform architecture
- Features
- Content created by Nexus ERP
Customers receive a limited right to use the Service during their subscription period.
No ownership of Nexus ERP intellectual property is transferred to the school.
10. School Content
Schools retain ownership of their data and content uploaded to the Platform.
The school grants Nexus ERP the limited rights necessary to:
- Host the information
- Process the information
- Back up the information
- Display the information
- Transmit the information
- Provide requested functionality
- Provide technical support
- Maintain security
11. Acceptable Use
Users must not:
- Attempt unauthorized access.
- Reverse engineer the Platform.
- Copy or reproduce the software.
- Circumvent security controls.
- Introduce malware.
- Abuse APIs.
- Scrape data without authorization.
- Use the Platform for illegal activity.
- Upload unlawful content.
- Infringe third-party rights.
- Interfere with Platform availability.
- Attempt to access another user's account.
Additional requirements are provided in the Acceptable Use Policy.
12. Availability
Nexus ERP aims to provide reliable and continuous Service but does not guarantee uninterrupted availability.
Service interruptions may occur because of:
- Maintenance
- Upgrades
- Security incidents
- Infrastructure failures
- Internet failures
- Third-party service failures
- Force majeure events
- Government restrictions
- Other circumstances beyond our reasonable control
13. Updates and Changes
We may modify or improve the Service from time to time.
Changes may include:
- New features
- Feature improvements
- Security updates
- Interface changes
- Module changes
- Integration changes
- Removal of obsolete functionality
Material changes may be communicated where appropriate.
14. Third-Party Services
The Platform may integrate with third-party services including payment gateways, communication providers, cloud services, maps, analytics, biometric systems, and other platforms.
Nexus ERP is not responsible for independent third-party services or their availability, policies, or practices.
15. Mobile Applications
Android and iOS applications may require device permissions such as:
- Notifications
- Camera
- Location
- Storage/files
- Network access
Users are responsible for maintaining compatible devices and operating systems.
16. Data Protection
Personal information is handled according to the Nexus ERP Privacy Policy.
The Data Processing Agreement may apply where Nexus ERP processes information on behalf of a school.
17. Security
Nexus ERP implements reasonable technical and organizational security measures.
However, no online system can guarantee absolute security.
Users must also protect their credentials and devices.
18. Backups
Nexus ERP may maintain backups for business continuity and disaster recovery.
Backup copies may remain for a limited period after deletion from active systems.
19. Suspension
Nexus ERP may suspend or restrict access where reasonably necessary because of:
- Non-payment
- Security threats
- Fraud
- Abuse
- Illegal activity
- Violation of these Terms
- Violation of the Acceptable Use Policy
- Risk to other customers or the Platform
Where reasonably possible, we may provide notice before suspension.
20. Termination
A subscription may terminate:
- At the end of the subscription period
- By cancellation
- For material breach
- For non-payment
- For unlawful use
- By mutual agreement
- For other reasons specified in the applicable Service Agreement
21. Data After Termination
Following termination, access to the Platform may be disabled.
Data handling after termination will be governed by the applicable Service Agreement, Data Processing Agreement, Privacy Policy, and applicable law.
22. Disclaimer
The Platform is provided to support school administration.
Nexus ERP does not guarantee that:
- The Platform will be error-free.
- Every feature will meet every school's specific requirements.
- Third-party integrations will always remain available.
- Reports will be error-free if incorrect information is entered by users.
- Internet or third-party services will always be available.
Schools remain responsible for reviewing important academic, financial, administrative, and operational decisions.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Nexus ERP will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Service.
Any liability limitations may be further defined in the applicable Service Agreement.
Nothing in these Terms excludes liability that cannot legally be excluded.
24. Indemnification
To the extent permitted by law, customers may be responsible for claims arising from:
- Unauthorized use of the Service
- Violation of these Terms
- Unlawful School Data
- Infringement caused by customer content
- Violation of applicable law
- Misuse of the Platform
25. Governing Law
The governing law and dispute-resolution provisions will be specified in the applicable Service Agreement or order form.
Where no separate agreement exists, applicable law will determine the governing jurisdiction.
26. Changes to Terms
Nexus ERP may update these Terms from time to time.
The updated version will be published with a revised "Last Updated" date.
Continued use after an effective update constitutes acceptance where permitted by applicable law.
